Welcome to Utter! These Terms and Conditions ("Terms") govern your access and use of Utter's services, which provide WhatsApp Business API solutions. By using our services, you agree to comply with and be bound by these Terms. If you do not agree, please do not use our services.
Definitions
- "Utter" refers to our platform providing WhatsApp Business API services.
- "User", "you", or "your" refers to any individual or entity using our services.
- "Services" refers to all features, functionalities, and integrations provided by Utter.
- “Personal Data”: Any information that relates to an identified or identifiable natural person.
- “UAE Laws”: All relevant laws and regulations governing digital services, data privacy, and business operations in the United Arab Emirates (UAE), including Federal Decree-Law No. 45 of 2021 on Personal Data Protection (PDPL) and Federal Decree-Law No. 34 of 2021 on Combating Rumors and Cybercrimes.
Eligibility
You must be at least 18 years old to use our services. By using Utter, you represent that you have the legal capacity to enter into a binding agreement.
Acceptance of Terms
By accessing or using Utter, a Meta WhatsApp Business CRM tool powered by MWAN Mobile, you agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, you must not use Utter.
End user warrants
By using Utter, you confirm, warrant, and represent that you:
- Represent a legitimate business and are legally recognized as an adult under applicable laws. You affirm that you have the legal capacity to enter into this binding agreement.
- Will use Utter solely for legitimate commercial purposes, such as business or trade-related activities. Utter shall not be used for personal use, political agendas, or any activities that violate applicable laws. Prohibited activities include, but are not limited to:
- Promotion of multi-level marketing schemes
- False or misleading advertising
- Participation in illegal gambling or betting
- Endorsement or facilitation of terrorist organizations
- Human trafficking or exploitation
- Hate speech or incitement to violence
- Will remain in full compliance at all times with the policies and terms of service of business messaging SaaS tools and applications that you have opted for while using Utter services.
Failure to comply with these warranties may result in immediate termination of access to Utter and potential legal action in accordance with UAE laws.
Grant of License
Subject to the End User warranties outlined above, Utter grants you a limited, revocable, non-exclusive, and non-transferable license ("License") to access and use the platform. This License is granted solely for the purpose of availing services upon purchasing a subscription plan as provided on the website, for the duration of the subscription period, and in accordance with these Terms and Conditions.
This License strictly permits you to use the platform and its services as per its intended functionality, as described in the purchase subscription agreement. You shall not sublicense, rent, lease, or transfer Utter, its services, or any part thereof to any third party.
All rights not expressly granted under this License remain reserved by Utter.
Use of Service
Users agree to:
- Provide accurate and complete information when registering for Utter.
- Use Utter in compliance with UAE laws, Meta’s policies, and applicable international regulations.
- Not engage in any unlawful, fraudulent, or unauthorized activities using Utter.
User Responsibilities
Users are responsible for:
- Maintaining the confidentiality of their account credentials.
- Ensuring that their use of Utter complies with UAE regulations on data privacy, business communication, and cybersecurity.
- Notifying MWAN Mobile immediately in case of any unauthorized access or security breaches.
Data Protection & Privacy
MWAN Mobile is committed to protecting Personal Data in accordance with the UAE Personal Data Protection Law (PDPL). We collect, store, and process data based on legal grounds, ensuring compliance with data minimization, security, and user consent principles.
Intellectual Property
All intellectual property rights in Utter, including software, content, trademarks, and branding, belong to MWAN Mobile or its licensors. Users are granted a limited, non-exclusive, non-transferable license to use Utter solely for business purposes under these Terms.
Prohibited Activities
Users are strictly prohibited from:
- Using Utter for spam, phishing, or fraudulent activities.
- Distributing hate speech, misinformation, or illegal content, as per Federal Decree-Law No. 34 of 2021 (Cybercrime Law).
- Violating Meta’s WhatsApp Business API policies.
MWAN Mobile reserves the right to suspend or terminate a User’s account if any of the above violations occur.
Limitation of Liability
To the extent permitted by UAE law, MWAN Mobile shall not be liable for:
- Indirect, incidental, special, or consequential damages arising from the use or inability to use Utter.
- Any unauthorized access, security breaches, or data loss beyond our reasonable control.
Termination and Suspension
MWAN Mobile reserves the right to suspend or terminate a User’s access to Utter if:
- They violate these Terms or UAE laws.
- Their account activity poses a security or legal risk.
- They fail to comply with WhatsApp’s Business Policy or MWAN Mobile’s operational guidelines.
Amendments
MWAN Mobile may update these Terms from time to time to comply with legal, regulatory, or business changes. Users will be notified of any significant changes via email or in-app notifications. Continued use of Utter after such updates constitutes acceptance of the revised Terms.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE). Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the UAE courts.
